Verbatae
License terms

License terms, in plain English.

Verbatae is licensed by XETENET LLC (“we”, “us”). What you can and can’t do with a Verbatae license. Each license is one installed copy on one computer, for your firm’s own work, and the version license never expires.

For your firm’s own people. Each license is for the licensee’s employees, and contractors working on the licensee’s own cases.

One license, one computer. A license covers one computer. Moving it to a replacement computer is fine: tell us. Running it on two computers at once needs two licenses. A cold standby computer for recovery is allowed.

No renting, resale or service-bureau use. Work on cases for your own clients is permitted; hosting Verbatae for other firms to use is not. You may not sublicense, lease, lend or share access to Verbatae.

Sanctions and export law. Verbatae may not be used by or for anyone on a U.S. sanctions list (including OFAC’s), or exported in violation of U.S. export law.

Your data is yours. We claim no rights to your case files or results. Verbatae sends nothing to us.

Leave the software as it is. No reverse engineering, decompiling, or removing notices from the software.

Transfers. A license doesn’t move to another company, including through a sale of your firm, without our written consent.

If something goes wrong. If a term is broken we’ll tell you what and give you a reasonable window to fix it. If it isn’t fixed, the license can end.

Your professional judgment. Verbatae shows what your documents say and where. Your professionals are responsible for reviewing its output and for every conclusion, filing and piece of advice based on it.

Hardware. Hardware is covered by its manufacturer’s warranty only, including machines we deliver and set up.

Warranty and liability. The software is provided as is. We don’t promise it will find everything or run without errors. We aren’t liable for lost profits, lost fees or billable hours, lost data, or the outcome of any case. Our total liability is limited to the fees you paid in the previous twelve months.

Disputes. Any dispute is settled by binding arbitration before a single arbitrator (AAA commercial rules), seated in Deschutes County, Oregon, under Oregon law. Claims are brought individually, not as a class. Either side may still ask a court to stop misuse of the software or confidential information.

This summarizes the license. The signed license agreement governs; it is still being prepared. Questions: contact@verbatae.com
